Terms of Service

These Terms of Use (“Terms”) govern your access to and use of weddleup.com and related services provided by WeddleUp (“WeddleUp,” “we,” “us,” or “our”). By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

1) Eligibility and Business Use

The Services are intended for business customers and wholesale purchasers. You represent that you are using the Site on behalf of a business and have authority to bind that business to these Terms.

2) Accounts and Dealer Portal

Certain features (including wholesale pricing, downloads, and ordering) require an approved account. You agree to provide accurate information, keep your credentials confidential, and notify us promptly of unauthorized access. We may approve, suspend, or terminate accounts at our discretion, including for policy violations.

3) Permitted Use and Prohibited Conduct

You may use the Site only for lawful purposes. You agree not to:

misuse, disrupt, or attempt to gain unauthorized access to the Site or systems;
scrape, copy, or download content in bulk without permission;
upload malware or harmful code;
violate applicable laws or third-party rights.

4) Intellectual Property

All content on the Site (including trademarks, text, graphics, images, and product designs) is owned by WeddleUp or its licensors and is protected by intellectual property laws. You may not use our trademarks or content without prior written permission, except as necessary to place orders and market authorized products in compliance with our policies.

5) Wholesale Ordering and Documents

Orders placed through the Site or Dealer Portal are subject to our wholesale policies and the specific terms shown in your PI/Order Confirmation/Invoice. We may change product availability, specifications, or documentation from time to time. Your use of pricing, UPC/SKU data, and downloadable assets is subject to account permissions and may be revoked for misuse.

6) Pricing, Taxes, and Payment

Published pricing may change without notice. Taxes (if applicable) may be itemized on invoices and may depend on the transaction and applicable law. Payment terms, credit approvals, and any credit limits (if offered) are at our discretion and may be modified or withdrawn.

7) Shipping and Delivery

Shipping and delivery are governed by our Shipping/Returns policy and the terms in your PI/Order Confirmation. Delivery timelines are estimates and may be affected by carrier schedules, customs, and other factors.

8) Reseller Policy (MAP) and Marketplace Restrictions

You agree to comply with our Reseller Policy, including MAP requirements where applicable. Resale on Amazon as a third‑party seller requires prior written authorization from WeddleUp. Unauthorized marketplace activity may result in suspension or termination of your account and other remedies.

9) Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

10) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WeddleUp WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES. IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO US FOR THE APPLICABLE ORDER GIVING RISE TO THE CLAIM.

11) Indemnification

You agree to indemnify and hold WeddleUp harmless from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, violation of these Terms, or infringement of third-party rights.

12) Termination

We may suspend or terminate your access to the Site or Services at any time for any reason, including suspected fraud or policy violations. Sections that by their nature should survive termination will survive.

13) Governing Law and Dispute Resolution

These Terms are governed by the laws of [Governing Law Jurisdiction]. Any disputes will be resolved in the courts located in [Venue], unless otherwise required by law.
